These terms govern the use of the abaku.mx website and of the products in the ABAKU ecosystem (ABAKU SIS, ABAKU LMS, ABAKU Plugins and ABAKU Academy). By using the site, requesting a demo or contracting a subscription, you accept them. If you are contracting on behalf of an institution, you state that you have authority to bind it.
1. What ABAKU is
ABAKU is an ecosystem of software services for educational institutions, provided over the internet (SaaS). It includes school management (ABAKU SIS), the virtual classroom (ABAKU LMS, in development), integration plugins (ABAKU Plugins) and training (ABAKU Academy).
The service is subscribed to, not purchased: you do not acquire ownership of the software. While your subscription is current, you have the right to use it under these terms.
Products or features labelled "coming soon" or shown as being in development are not part of what you contract until we announce their availability. Nothing on this site should be read as a commitment to a release date.
2. Account, credentials and permitted use
You are responsible for the accounts you create in your institution, for who you grant them to, and for keeping credentials confidential. Tell us immediately if you suspect unauthorized access.
You agree not to use the service to store or distribute unlawful content, to attempt to breach its security, to overload it deliberately, or to resell it as your own without a written agreement.
You are responsible for the content you upload and for having the right to upload it.
3. Your data and your institution's data
The data you and your institution enter belongs to you. We use it to provide the service, and never to sell it or to build commercial profiles.
You can export your data from the platform at any time. If the relationship ends, we make the export available for at least 30 days from termination and delete it after the retention period stated in the Privacy Notice.
With regard to student data, the institution is the data controller and ABAKU acts as a processor under its instructions. See the Privacy Notice.
4. Subscription, prices and payment
Prices are quoted per institution based on its size and needs. What you are quoted is what you pay for the agreed period: we do not charge extra per module.
Billing is periodic and in advance. Mexican customers get a CFDI invoice with the tax details they provide.
Price changes do not apply to a period already paid for, and we announce them at least 30 days before renewal.
Persistent non-payment may lead to suspension. We warn you before suspending and we do not delete your data during that warning window.
5. Availability, maintenance and backups
We work to keep the service available continuously, and we take periodic backups. Planned maintenance is announced in advance and scheduled to disturb operations as little as possible.
We do not promise the service will never fail. Interruptions may come from us or from third parties (connectivity, hosting, payment gateways, WhatsApp). Where the service level is a contractual requirement, it is agreed in writing in the corresponding contract.
Backups are a recovery measure, not a substitute for your own exports.
6. Support and automated channels
Support is provided by email, WhatsApp and web chat. These channels are operated by automated systems supervised by our team, as declared in the Privacy Notice.
You may request human attention at any time. Decisions about your account — quotes, contracts, cancellations, refunds — are made by a person.
7. Intellectual property
The software, brand, designs and documentation of ABAKU belong to us. Your subscription grants you a non-exclusive, non-transferable right to use them for the term of the subscription.
You may not copy, decompile or derive works from the software, nor remove attribution notices, without our written consent.
Everything you upload stays yours. Granting us access to operate the service does not transfer any rights to us.
8. Third-party services
The service integrates with third parties (payment gateways, invoicing providers, WhatsApp, Moodle, AI providers). Their operation is governed by their own terms and we do not control their availability or their pricing changes.
If a third party stops offering a service, we will look for an equivalent replacement, but we cannot guarantee identical functionality.
9. Liability
We provide the service with professional diligence. Our liability is limited to the amounts you paid for the service in the three months preceding the event giving rise to the claim.
We are not liable for lost profits, loss of opportunity, or for decisions your institution makes based on data it entered incorrectly.
Nothing in these terms limits liability that cannot be limited by law, including wilful misconduct.
10. Term, cancellation and suspension
You may cancel at the end of any billing period by telling us in writing. We do not charge penalties for leaving.
We may suspend or terminate the service for serious breach of these terms, unlawful use, or persistent non-payment, always giving you prior notice and time to remedy where remedy is possible.
On termination, sections on intellectual property, liability and applicable law survive.
11. Changes to these terms
We may update these terms. The current version will always be at abaku.mx/terms with its update date, and substantial changes are announced at least 30 days in advance to active customers.
If you do not accept a substantial change, you may cancel before it takes effect.
12. Applicable law and jurisdiction
These terms are governed by the laws of the United Mexican States. Any dispute will be submitted to the competent courts of Mexico City, waiving any other jurisdiction that may apply.
